1. Introduction

Welcome to Foundations First HR ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our services, including HR templates, training, and related services.

By purchasing or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Important: Please read these Terms carefully before using our services.

Important Limitation: We provide HR templates and training only. We do NOT provide legal advice, employment law advice, or HR consultancy services. For specific legal matters, please consult a qualified employment solicitor.

4. Service Packages & Pricing

4.1 Foundation Packages (One-Time Purchase)

  • Foundations Package: £1,000
  • Growth Package: £1,650
  • Complete Package: £2,500

4.2 HR Compliance Shield (Annual, Optional)

  • Essential Shield: £1,000/year
  • Professional Shield: £1,650/year
  • Premium Shield: £2,500/year*

Terms: *Premium Shield clients are entitled to unlimited template access and contract support within fair and reasonable business use. Foundations First HR reserves the right to limit excessive or repetitive requests that fall outside normal operational needs or intended service scope.

4.3 Additional Services

  • Contract Amendments: £50 per employee
  • New Template Creation: £200
  • Template Updates: £75-150 (depending on complexity)

All prices are subject to change with 30 days' notice. Current prices apply to all orders placed before any price change.

5. Payment Terms

5.1 Foundation Packages

A deposit of fifty percent (50%) of the total fee is payable prior to the commencement of any work. The remaining fifty percent (50%) shall become due upon completion of the project and before the final deliverables are released. Payments may be made via bank transfer, credit/debit card, or any other method agreed in writing. Invoices will be issued for each payment stage.

Should the Client choose to cancel the project after the deposit has been paid and work has commenced, the deposit shall be non-refundable and retained by Foundations First HR to cover time and resources already committed.

5.2 HR Compliance Shield

Shield services are billed annually in advance. Payment is due within 14 days of invoice date. Renewal invoices will be sent 30 days before the renewal date.

5.3 Late Payment

Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We reserve the right to suspend services for accounts with overdue payments.

6. Delivery & Timeline

6.1 Foundation Packages

  • Initial consultation: Within 3 business days of payment
  • Template delivery: 2-3 weeks from consultation
  • Training session: Scheduled within delivery timeline

6.2 Shield Services

  • Template updates: 5-7 business days from request
  • Compliance reviews: As scheduled per package level

Timelines are estimates and may vary based on complexity and client responsiveness. Rush services may be available for an additional fee.

7. Intellectual Property & Ownership

7.1 Template Ownership

Upon full payment, you receive a perpetual, non-exclusive license to use all templates and documents provided as part of your package. You own the customised templates forever and may use them within your organisation.

7.2 Usage Restrictions

You may NOT:

  • Resell, redistribute, or share templates with other businesses
  • Use templates for commercial purposes outside your organisation
  • Claim templates as your own original work
  • Remove copyright or attribution notices from templates
  • Use templates to create derivative works for resale or distribution (e.g., repackaging or reselling modified templates)

7.3 Our Intellectual Property

All underlying template structures, methodologies, training materials, and brand assets remain the intellectual property of Foundations First HR.

7.4 Copyrights & Trademarks

All content, templates, materials, designs, and branding available through Foundations First HR—including but not limited to text, graphics, logos, icons, training materials, and software—are protected by copyright, trademark, and other intellectual property laws.

You acknowledge that all intellectual property rights in our materials, including any registered or unregistered trademarks (“Foundations First HR” and related branding), remain the sole property of Foundations First HR.

You may not copy, reproduce, modify, distribute, display, or create derivative works from any of our materials without prior written consent.

Any unauthorised use of our intellectual property may result in legal action and termination of your licence to use our services.

8. Refund & Cancellation Policy

8.1 Foundation Packages (One-Time Services)

Before Work Commences: Full refund available if you cancel within 7 days of purchase and before we begin customising your templates.

After Work Begins: Once customisation starts, no refunds are available. However, we will work with you to revise templates until you are satisfied.

8.2 HR Compliance Shield (Annual Services)

Cancellation: You may cancel at any time with written notice to hello@foundationsfirsthr.co.uk. Your services will continue until the end of your paid period.

No Refunds: Annual Shield payments are non-refundable. If you cancel mid-term, you retain access until your anniversary date but will not receive a pro-rata refund.

Non-Renewal: To prevent automatic renewal, notify us at least 30 days before your renewal date.

9. Revisions & Client Satisfaction

We are committed to your satisfaction. For Foundation packages:

  • We offer reasonable revisions to templates within 14 days of delivery
  • Revisions must be requested in writing via email
  • Revisions are limited to corrections and adjustments within the original scope
  • Major changes or additions may incur additional fees

10. Warranties & Disclaimers

10.1 Our Commitments

We warrant that:

  • Templates are prepared by CIPD-qualified HR professionals
  • Templates reflect current UK employment law at the time of delivery
  • Templates are customised to your specific business information
  • Services will be performed with reasonable care and skill

10.2 Important Disclaimers

NOT LEGAL ADVICE: Our services do NOT constitute legal advice. Templates are provided as general guidance and may not be suitable for all situations.

NO GUARANTEE OF OUTCOMES: We cannot guarantee that using our templates will prevent employment disputes, tribunal claims, or legal issues.

CLIENT RESPONSIBILITY: It is your responsibility to ensure templates are appropriate for your specific circumstances. We recommend legal review for complex situations.

EMPLOYMENT LAW CHANGES: UK employment law changes frequently. Templates are accurate as of delivery date but may require updates. Shield members receive ongoing updates; others must purchase updates separately.

11. Limitation of Liability

11.1 Maximum Liability

Our total liability to you for any claims arising from our services is limited to the amount you paid for the specific service in question.

11.2 Excluded Losses

We are not liable for:

  • Indirect, consequential, or special damages
  • Loss of profits, revenue, or business opportunities
  • Employment tribunal claims or legal fees
  • Damages arising from your misuse of templates
  • Claims arising from failure to update templates after delivery

11.3 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or other liabilities that cannot be excluded by law.

12. Client Responsibilities

You agree to:

  • Provide accurate and complete information during consultation
  • Respond to requests for information in a timely manner
  • Review templates carefully before implementation
  • Seek independent legal advice when appropriate
  • Keep templates confidential and not share with third parties
  • Update templates as needed for legal compliance
  • Attend scheduled training sessions or reschedule with reasonable notice

13. Confidentiality

We will keep all information you provide confidential and will not disclose it to third parties except:

  • With your explicit consent
  • As required by law
  • To our professional advisors under duty of confidentiality
  • As necessary to provide services (e.g., payment processors)

14. Data Protection & GDPR

We process your personal data in accordance with UK GDPR and the Data Protection Act 2018. For full details on how we collect, use, and protect your data, please see our Privacy Policy.

You have rights under GDPR including the right to access, rectify, erase, restrict processing, data portability, and to object to processing of your personal data.

15. Termination

15.1 By You

You may terminate Shield services at any time as described in Section 8. Foundation packages cannot be terminated once work has commenced, but revisions will be provided as outlined in Section 9.

15.2 By Us

We may terminate services immediately if you:

  • Breach these Terms
  • Fail to make payment
  • Use templates illegally or improperly
  • Engage in abusive or threatening behaviour

16. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on our website with a new "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.

For material changes, we will notify active Shield members via email at least 30 days before the changes take effect.

17. Dispute Resolution

17.1 Informal Resolution

If you have a complaint or dispute, please contact us at hello@foundationsfirsthr.co.uk. We will make reasonable efforts to resolve the issue amicably.

17.2 Formal Complaints

If we cannot resolve your complaint informally, you may pursue formal dispute resolution through mediation or arbitration before resorting to court proceedings.

17.3 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and Foundations First HR.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor business.
